Your use of MTV’s properties and services as provided on this website (“Site”) and the submission of your content is subject to the terms of the license agreement (“License Agreement”) set out below to be entered into between you and MTV by your clicking on the “I accept” button below. You may not use any content provided on this Site or submit any content if the License Agreement is not accepted by you.

• MTV Properties. For the sole and exclusive purpose of creating content for MTV’s MID Collaboration Project (“Project”), MTV grants you a personal, royalty-free, non-exclusive, non-transferable, non sub-licensable license to use MTV’s properties and services, including without limitation, MTV’s trademarks, logo, graphics, designs, music, audio materials (“Licensed Properties”) on this Site as provided and varied from time to time at MTV’s discretion, which are fully owned and controlled by MTV.

• User’s Submitted Content. You retain all ownership rights and full control over the content you submit except for the Licensed Properties used in the content. Accordingly, you agree that in all your use of the submitted content as owner, all sight, sound and images of the Licensed Properties shall be completely removed to preserve the MTV’s ownership rights. You agree and acknowledge that notwithstanding your submission, MTV is not bound to select and/or use your submitted content and that MTV reserves all rights and has sole discretion in deciding whether to accept your submitted content for the Project. MTV shall inform you in writing as soon as practicable after your submission as to whether your submitted content is selected. If your submitted content is not selected, MTV will not reproduce, distribute or perform your submitted content but you agree to allow MTV to retain one copy of your submitted content. If your submitted content is selected, MTV will inform in writing and you hereby agree irrevocably that you will grant MTV a royalty-free, non-exclusive, worldwide, perpetual, transferable, sub-licensable license of your submitted content (“Licensed Content”) to use, reproduce, distribute, prepare derivative works of, display and perform the Licensed Content in any media formats and through any media channels, for MTV’s (and its successors’ and affiliates’) commercial, business, trade, advertising, publicity purposes and social initiatives, including without limitation, for promoting and distributing MTV’s programs, websites and any other services (“MTV Platforms”). You agree that if MTV selects your submitted content, you will at your sole costs provide and deliver to MTV such copy or copies of the content upon MTV’s notice, at such time and in such format as MTV may reasonable request. If the provided content fails to function, contains any defect, is in any way unsuitable or requires modification or changes in any way for MTV’s intended use or purpose in MTV’s sole reasonable opinion, you agree to, if and upon MTV’s reasonable request, to provide and deliver further copy or copies (in such form or format as MTV may request) of the content at your sole costs, but MTV shall always reserve the right to choose not to use your content ultimately. In the latter case where the content is not used, for the avoidance of doubt, no licensing arrangement between you and MTV as set forth above, shall arise nor shall any correlative obligations in respect of such licensing arrangement including without limitation, clause 3 (Consideration) below, apply. All such other terms and conditions herein however shall remain valid and effective, and binding on you.

• Consideration. You hereby agree that the sole and adequate consideration for the license granted by you to MTV under this License Agreement shall be the display of the Licensed Content that is modified and adapted to MTV standards and requirements (“MTV Derivative Content”) on MTV Platforms, which you agree shall constitute full and complete consideration. The display of the MTV Derivative Content shall include your name, signature and/or such other appropriate details at MTV’s discretion providing credit to you as the author/creator of the Licensed Content. MTV shall have sole discretion as to the when, how, manner and media format of display of the MTV Derivative Content.

• Representations and Warranties. As the provider of the submitted content, whether your submitted content is selected or not by MTV, by your use of the Licensed Properties and clicking on the “I accept” button, you hereby warrant that : (a) you are of legal age to contract or otherwise, that your parent or legal guardian has approved and hereby enters and undertakes the obligations under this Agreement on your behalf and all references to you in this Agreement shall be mean and include your parent or legal guardian (as the case may be); (b) you are the original creator of the submitted content and that it does not infringe any third party rights or violate any applicable laws, rules or regulations; and (c) you have full and unfettered rights to deal with the submitted content as you deem fit including without limitation, the disclosure and submission of the submitted content to MTV for the purposes of the Project. Accordingly, you shall indemnify MTV and hold MTV harmless in respect of any claim, action or proceedings against MTV (including reasonable legal costs incurred) arising in respect of the submitted content whether or not such submitted content is declined, selected and/or used by MTV in any form or manner. Further, you shall also be liable for any loss, damage, costs and expenses suffered and/or incurred by MTV as a result of your submission of the submitted content to MTV whether or not such submitted content is declined, selected and/or used in any form or manner.

• Third Party Websites and Content. This Site may contain links to other web sites (“Third Party Sites”) as well as articles, text, graphics, pictures, sound, video, information, applications, software and other content or items belonging to or originating from third parties (“Third Party Applications, Software or Content”). MTV is not responsible for any of the Third Party Sites and Third Party Applications, Software or Content, and the linking of these does not imply approval or endorsement thereof by us. If you decide to leave the Site and access the Third Party Sites or install any Third Party Applications, Software or Content, you do so at your own risk and MTV shall not be responsible or liable to you in anyway whatsoever.

• Termination or Expiry of License Agreement. If your submitted content is not selected by MTV, MTV’s license to you of the Licensed Properties shall expire immediately, and the License Agreement between you and MTV shall expire simultaneously. You agree that you shall not have any or further rights, interests or claims against MTV and you shall not make or retain any copies of, or use or deal with the Licensed Properties in any way for any purposes whatsoever. If your content is selected by MTV, this License Agreement shall expire one (1) year from the date of the submission of the Licensed Content, and thereafter both parties shall not have any or further rights, interests or claims against the other party save for any rights, interests or claims arisen or accrued prior to expiry. Whether the content submitted is selected or not, you agree to allow MTV to retain a copy of the same after the expiry of the License Agreement. Notwithstanding the foregoing, MTV reserves the right to unilaterally terminate this License Agreement before expiry and at any time with no right of recourse by you if you are in breach of any term in this License Agreement. For the avoidance of doubt, the expiry or termination of this License Agreement shall not affect or prejudice in any way any of MTV’s rights, claims or interests accrued or arisen prior thereto.

• Governing Law and Jurisdiction. This License Agreement shall be deemed to have been made and executed in Singapore, and shall be governed by and construed according to the laws of Singapore.

Miscellaneous. The parties are each independent contractors and neither party is an agent, representative or partner of the other. MTV reserves all rights to terminate this License Agreement at any time in the event of your breach of any term of this License Agreement. This License Agreement constitutes and contains the entire agreement between the parties with respect to the subject matter of the License Agreement, and supercedes any prior verbal or written representation or agreement.
